이란 뜻도 있지만 지불, 세금(= tax, payment)란 뜻도 있다.
이말은 England와 Scotland의 경계에 사는 소농민들에게
신변보호를 구실로 삼아서 도둑떼들이 강제로 곡식과 재산을
포탈해가던 악습에서 비롯된 말이다.
그후 이말은 점차 확대되어 못된 관리, 비평가, 신문기자등이
취약점을 가진 사람들을 협박, 공갈해서 뜯어가는 돈을 의미하게
되었다.
blackmail이 동사로도 사용되어 다음과 같은 뜻을 갖는다.

그 깡패가 John을 협박했다.
Black Journalism이라고 하는 말은 언론 혹은 언론인들이 하는
blackmail이라고 이해하면 되겠다.

적대적 인수합병(M&A):대주주간 협사에 의해 경영권이 넘어가는 우호적인
M&A와 반대되는 개념. 해당 회사 이사회의 동의 없이 강제적으로 경영권을
뺏는 것. 적대적 M&A는 주로 주식 공개매수를 통해 이뤄진다. 정부는
증권거래법상 의무공개매수제도와 외자도입법의 이사회 승인 요건 등으로
내외국인에 의한 적대적 M&A를 규제해 왔다. 1998년 2월 4일 구조조정안이
타결됨으로써 적대적 M&A를 가로막는 모든 장벽이 철폐됐다. 그
방법으로는 다음과 같다.
1.공개매수 (TOB:Take-over Bid)=인수기업이 인수하고자 하는 대상기업의
불특정 다수주주를 상대로 장외에서 일정기간 특정가격으로 매도하라고
권유하는 것. 적대적 M&A의 속성상 가장 흔히 쓰이는 방법이다.
미국에서는 인수자측이 대상기업에 방어할 시간을 주지 않기 위해 공휴일인
토요일 저녁 황금시간대 TV를 통해 공개매수를선언하는 경우가 많다. 이를
'토요일 밤의 기습'(Saturday Night Special)이라 부르기도 한다.
2.곰의 포옹(Bear Hug)=인수자가 공개매수 대상기업에 인수 합병의
당위성을 설명하고 인수에 협력할 것을 권유하는 행위 . 주로 최고 경영자
사이에 사적으로 이뤄져 보통은 잘 공개되지 않는다.
3.기업사냥꾼(Raiders)=기업 인수 합병 전문가를 일컫는 말로
'기업약탈자'로 불리기도 한다. 이들은 대상기업의 일정 지분을 장내에서
매입했다가 대상기업에 높은 값에 다시 사줄 것을 요구하는 '그린메일러'가
되기도 한다.
4.그린메일(Green-mail)=대량 주식보유자가 대상주식의 경영자를 협박해
자신이 매입한 주식을 프리미엄을 얹어 발행회사에 되파는 행위. 이를
전문적으로 하는 사람을 그린메일러라 부른다. 대상기업이 매입을 거부할
경우 그린메일러는 기업사냥꾼을 변모해 적대적 M&A를 시도하는 게
보통이다.
5.턴 어라운드(Turn-around)=자산가치가 높고 현금 흐름이 풍부한데도
경영자의 능력이나 자본구조가 취약해 주가가 떨어진 기업을 인수한 뒤
경영을 호전시켜 주가를 올린 다음 매각 처분하는 기법.
6. 차입매수(LBO:Leveraged Buy-out)=금융기관 등에서 돈을 빌려 인수
대금의 대부분을 조달하는 방법. 대상기업의 경영자가 회사자산을 담보로
제공하는 등 주로 우호적 M&A에서 많이 이뤄지나 미국의 베아트리체
식품회사처럼 적대적 M&A에도 쓰인다.

이 분류는 증상에 의존해서 뿐아니라 두개의 원인적 영향의 존재에 근거해서도 식별될 수 있다는
점이 다른 장애와 구별되는 점이다. 두가지 원인적 영향이란 급성 스트레스 반응을 유발하는 긴장이
많은 일상 사건과, 불유쾌한 환경을 지속되게 하여 적응장애로까지 내모는 일상의 변화이다. 약간
덜 심한 정신사회적 스트레스(일상사건)는 이 장의 넓은 부분을 차지하여 언급했지만 원인적 중요성
은 항상 명백하지는 않으며 각 경우마다 개개인, 특이체질, 취약성에 따라 달라진다. 다시 말하면
일상사건이라는 원인적 영향은 장애의 발생에 충분한 설명을 할 수 없다는 것이다. 반대로 일단
발생한 장애는 급성 중증 스트레스황불안의 자율신경성 증후다. 증상은 스트레스성 사건이나 자극후 수분내 나타나며 이삼일후(주
로 수시간 내에) 사라진다. 부분적 혹은 완전한 기억상실(F44.0)이 그 에피소드에 대해 있을 수
있다. 만일 증상이 지속된다면 진단을 달리해야 한다.

F43.1 외상후 스트레스 장애(Post-traumatic stress disorder)
모든이에게 왜곡된 걱정거리를 제공하기 쉬운 예외적으로 위협적이거나 재난적인 자연의 상태(단기
또는 장기)또는 근심에 늦게 반응하여 나타나는 장애. 과거의 신경성 질환이나 인격적 특성(충박성,
쇠약성)이 증상의 발전이나 경과의 악화 역치를 낮출수 있지만, 질병의 발생을 충분히 설명할 수
없다. 전형적 양상은 방해적 기억속, 꿈과 악몽에서 외상의 반복적 재체험(과거의 재현)이며 무감각
이나 무딘 감성, 타인과 분리, 주위환경에 대한 무관심, 쾌감 결여, 외상을 기억나게하는 활동 및
상황을 피하려는 지속적인 배경에 대하여 발생한다. 보통 자율신경의 과각성, 과경계 상태에 있으며
깜짝깜짝 놀라고 불면증에 시달린다. 불안과 우울증도 잘 연관되나 자살관념은 흔하지 않다. 증상의
시작은 외상후 수 주 및 수 개월의 잠복기를 가지며 과정은 유동적이나 다수가 회복된다. 환자의
일부는 수년간의 만성적 경과를 밟으며 인격변조 (F62.0)의 과도기를 거친다.

F43.2 적응 장애(Adjustment disorders)
일상변화나 일상사건에 적응하는 시기에 일어나는 주관적인 근심과 정서장애 상태로써 사회적 기능,
임무수행에 지장을 준다. 스트레스요인은 개인의 사회적 조직망(사별, 분리, 경험)이나 더 큰 사회
지지 및 가치체계(이주, 망명자 신분) 등에 영향을 미칠 수 있으며 입학, 기원했던 목표의 실패,
은퇴, 부모가 되는것 등의 주요한 변화나 분기일 수 있다. 개개인의 성향과 취향에 따라 적응장애의
발현모습과 위험도가 달라지며 스트레스성 요인 없이 이런 증상이 나타날 수도 있다. 증상은 다양하
나 우울한 기분, 불안, 걱정(혹은 혼합형), 일상생활의 수행 불가능, 현재의 상황에 대처할 수 있는
능력의 상실, 미래를 계획할 수 있는 능력의 상실로 대표될 수 있다. 성인에 있어 행위장애가 연관
될 수 있다. 우세한 표현 양상은 짧은, 혹은 지속적 우울반응이며 정서나 행위 장애이다.

이 장애는 재난, 과도한 지속성 스트레스, 심한 정신과적 질환후의 아무런 인격장애도 없었던 환자에
게서 발생하는 성인의 인격과 행동장애를 말한다. 이 분류는 개인의 인지, 관계, 환경에 대한 생각
또는 자신에 대한 생각에 단정적이고 영속적인 변화의 증거가 있을 때만 사용된다. 인격변조는 발병
의 경험 이전에는 없었던 강경하고 적응하지 못하는 행위와 연관되는 중요한 것이어야 한다. 이러한
변화는 또 다른 정신장애나 이전의 정신장애의 잔류증상의 직접적 표현은 아니어야 한다.

재난성 스트레스후에 적어도 2년간 계속되었던 지속성 인격변조. 스트레스는 인격에 심오한 영향을
주기에 개인적 취약성을 고려치 않더라도 매우 극심한 것이어야 한다. 이 장애는 세상에 대한 적대적
이고 불신하는 태도, 사회에 대한 거부, 공허함, 무력감, 벼랑끝에 서 있는 듯한 느낌 등으로 대표된다.
외상후성 스트레스 장애(F43.1)가 이런 형태의 인격변조에 선행할 수 있다.

심한 정신과적 질환으로부터의 외상성 고통받는 기억에 의해 적어도 2년간 지속되는 인격변조. 이러
한 변조는 이전의 인격장애나 정신분열증의 잔류, 정신 장애의 불완전 치료 상태 등으로는 설명될
수 없다. 이 장애는 과도한 타인에 대한 의존심, 행동의 요구와, 질환에 의한 비난과 변화에 대해서
죄의식을 가져 타인과의 신뢰감을 유지하지 못하고 사회적으로 고립되는 것이 특징이다. 심기성
불평과 질병행동과 연관되어 질병이 있다는 것을 호소하며 레져(Leisure) 활동이나 즐거움에 대한
흥미를 잃는다. 현재의 정신장애나 이전의 장애에 대한 잔류증상이 아닌 신체위화감이나 불안정한
기분도 증상의 특징이며 심각한 직업적, 사회적 기능수행의 지속적인 문제를 가져온다.
