ABS는 보유하고 있는 자산인 채권을 담보로 증권화하는 것으로 자산보유자가 채권 등에 묶여 있는 현금흐름을 조기 회수하기 위해서 채권을 담보로 일정한 현금흐름을 창출하는 것이다.
즉 자산보유자가 보유하고 있는 채권을 특별 목적회사인 유동화전문 회사에 양도하고 유동화전문회사는 채권을 담보로 ABS를 발행 한다.
투자자의 투자를 통해 회수된 자금을 자산보유자에게 전달 함으로써 채권의 증권화를 통한 유동화 과정이 완결되는 것이다.
그리고 원 채무자는 투자자에게 채무를 변제함으로써 투자자는 자금을 회수하게 된다.
