Jeroz To Buy Back Shares
Jeroz announced that its board of directors has authorized the buyback of $ 1 billion of its stock shares.
According to a statement by the company, the buyback operation will be carried out in stages, and will reduce the number of ahares available to the public by 7 percent.

적대적 인수합병(M&A):대주주간 협사에 의해 경영권이 넘어가는 우호적인
M&A와 반대되는 개념. 해당 회사 이사회의 동의 없이 강제적으로 경영권을
뺏는 것. 적대적 M&A는 주로 주식 공개매수를 통해 이뤄진다. 정부는
증권거래법상 의무공개매수제도와 외자도입법의 이사회 승인 요건 등으로
내외국인에 의한 적대적 M&A를 규제해 왔다. 1998년 2월 4일 구조조정안이
타결됨으로써 적대적 M&A를 가로막는 모든 장벽이 철폐됐다. 그
방법으로는 다음과 같다.
1.공개매수 (TOB:Take-over Bid)=인수기업이 인수하고자 하는 대상기업의
불특정 다수주주를 상대로 장외에서 일정기간 특정가격으로 매도하라고
권유하는 것. 적대적 M&A의 속성상 가장 흔히 쓰이는 방법이다.
미국에서는 인수자측이 대상기업에 방어할 시간을 주지 않기 위해 공휴일인
토요일 저녁 황금시간대 TV를 통해 공개매수를선언하는 경우가 많다. 이를
'토요일 밤의 기습'(Saturday Night Special)이라 부르기도 한다.
2.곰의 포옹(Bear Hug)=인수자가 공개매수 대상기업에 인수 합병의
당위성을 설명하고 인수에 협력할 것을 권유하는 행위 . 주로 최고 경영자
사이에 사적으로 이뤄져 보통은 잘 공개되지 않는다.
3.기업사냥꾼(Raiders)=기업 인수 합병 전문가를 일컫는 말로
'기업약탈자'로 불리기도 한다. 이들은 대상기업의 일정 지분을 장내에서
매입했다가 대상기업에 높은 값에 다시 사줄 것을 요구하는 '그린메일러'가
되기도 한다.
4.그린메일(Green-mail)=대량 주식보유자가 대상주식의 경영자를 협박해
자신이 매입한 주식을 프리미엄을 얹어 발행회사에 되파는 행위. 이를
전문적으로 하는 사람을 그린메일러라 부른다. 대상기업이 매입을 거부할
경우 그린메일러는 기업사냥꾼을 변모해 적대적 M&A를 시도하는 게
보통이다.
5.턴 어라운드(Turn-around)=자산가치가 높고 현금 흐름이 풍부한데도
경영자의 능력이나 자본구조가 취약해 주가가 떨어진 기업을 인수한 뒤
경영을 호전시켜 주가를 올린 다음 매각 처분하는 기법.
6. 차입매수(LBO:Leveraged Buy-out)=금융기관 등에서 돈을 빌려 인수
대금의 대부분을 조달하는 방법. 대상기업의 경영자가 회사자산을 담보로
제공하는 등 주로 우호적 M&A에서 많이 이뤄지나 미국의 베아트리체
식품회사처럼 적대적 M&A에도 쓰인다.
또한 영국 로이즈 캐노피우스사에 대한 지분투자가 완료됨에 따라 캐노피우스사의 주요 주주로서 이사회 참여를 통해 선진 보험사의 운영 역량을 직접 체득하고 글로벌 시장에서 다양한 전략적 협업을 진행할 계획이다.

A generation ago, in the early 1970s, Greer was one of the early
investors in a struggling young company called Federal Express, then run
by a 20-something entrepreneur, Frederick W. Smith, who had the brash
idea of delivering mail and packages overnight.

Smith had already burned through two substantial rounds of funding in
building his fleet of airplanes. Though the business indicators looked
good, Federal Express's coffers were empty. And it was a day when people
clung to the quaint idea that a company had to show a profit to go
public.

Smith embarked on what became a desperation mission. He gave up half his
company for $4 million, a sum that seems trivial today. Greer, who had
invested in both earlier rounds, stayed with Federal Express for what
became a very lucrative investment for the VC firm. ``I was traveling to
the board meetings fairly often, and I could see things turning
around,'' he says now.

Here's the kicker: Greer still holds some of the original stock from
that round, known as a ``down round'' in VC parlance. ``I hold stock a
long time,'' he explained the other day at a Weiss, Peck & Greer
partners meeting at the Robert Mondavi Winery in Napa Valley.

Hong Kong-based Internet company China.com Corp., whose shares
skyrocketed this week after the United States reached a trade agreement
with China, said Friday its board approved a two-for-one stock split.
홍콩의 인터넷업체 차이나닷컴(China.com Corp.)은 19일 자사 주식의 2
대1 분할을 이사회가 승인했다고 밝혔다. 차이나는 최근 미국과 중국이

the split, which would be available to holders of record by the end of
