불특정 다수주주를 상대로 장외에서 일정기간 특정가격으로 매도하라고
권유하는 것. 적대적 M&A의 속성상 가장 흔히 쓰이는 방법이다.
미국에서는 인수자측이 대상기업에 방어할 시간을 주지 않기 위해 공휴일인
토요일 저녁 황금시간대 TV를 통해 공개매수를선언하는 경우가 많다. 이를
'토요일 밤의 기습'(Saturday Night Special)이라 부르기도 한다.
2.곰의 포옹(Bear Hug)=인수자가 공개매수 대상기업에 인수 합병의
당위성을 설명하고 인수에 협력할 것을 권유하는 행위 . 주로 최고 경영자
사이에 사적으로 이뤄져 보통은 잘 공개되지 않는다.
3.기업사냥꾼(Raiders)=기업 인수 합병 전문가를 일컫는 말로
'기업약탈자'로 불리기도 한다. 이들은 대상기업의 일정 지분을 장내에서
매입했다가 대상기업에 높은 값에 다시 사줄 것을 요구하는 '그린메일러'가
되기도 한다.

5.턴 어라운드(Turn-around)=자산가치가 높고 현금 흐름이 풍부한데도
경영자의 능력이나 자본구조가 취약해 주가가 떨어진 기업을 인수한 뒤
경영을 호전시켜 주가를 올린 다음 매각 처분하는 기법.
6. 차입매수(LBO:Leveraged Buy-out)=금융기관 등에서 돈을 빌려 인수
대금의 대부분을 조달하는 방법. 대상기업의 경영자가 회사자산을 담보로
제공하는 등 주로 우호적 M&A에서 많이 이뤄지나 미국의 베아트리체
식품회사처럼 적대적 M&A에도 쓰인다.

의해서도 공개하기 곤란한 명백하고 현존하는 필요성 있다는 자료제출자의
주장을 부인하는 경우, APO하에서는 자료의 공개에 동의하는 것 (4) 반환된
정보와 관련된 다른 자료를 제출하는 것 등이다. 자료제출자가 위에서 언급한
행동중 아무 것도 취하지 않는 경우, 상무부는 반환된 자료를 참고하지 않는
다.
19 CFR 351.304(d)(2) provides for the DOC to determine the status of information
normally within 30 days after the day on which the information is submitted. The
deadline is intended to avoid situations in which the DOC inadvertently accepts
nonconforming submissions or only recognizes the problem too late to request
replacements. Analysts should review documents as soon as possible after they are
submitted, and should promptly address any complaint of an alleged nonconforming
submission.

19 CFR 351.305 deals with procedures for obtaining business proprietary information
under APO. Paragraph (a) sets forth a new procedure based on the use of a single APO
for each segment of a proceeding. It also establishes the requirements an authorized
applicant must meet if they have APO access. Paragraph (b) establishes the APO
application process. Paragraph (c) concerns approval of an APO application.

which all authorized applicants must adhere. The DOC has eliminated from the APO
detailed internal procedures that firms were required to follow to protect APO
information from unauthorized disclosure. In paragraph (a)(1), the DOC requires each
applicant to establish its own internal procedures.

Paragraph (b)(2) also provides that an applicant must apply to receive all business
proprietary information on the record of the particular segment of the proceeding in
question. The purposes of this requirement are to eliminate the need for parties to prepare
separate APO versions of submissions for each of the different parties involved in a
proceeding and to reduce the number of APO violations that occur through the
inadvertent service of a document containing business proprietary information to parties
not authorized to receive it. In order to avoid forcing parties to receive a submission in
which they have no interest, however, a party may waive service of business proprietary
information it does not wish to have served on it by another party.
(b)(2)항은 행정보호명령을 신청하는 절차를 규정하는데, 신청자들이 자신들의
Word-processing 장치로 작성할 수 있는 약식 신청서식을 규정하고 있다.
신청자는 신청서와 상무부의 행정보호명령간에 일치하지 않는 경우, 상무부의
행정보호명령과 일치되는 것으로 해석되도록 인정해야 한다. (b)(2)항에는
신청자가 해당되는 특정 절차에 기록된 모든 영업비밀정보를 신청하도록
규정되어 있다. 이러한 요건의 목적은 각 진행절차와 관련된 각각의 다른
이해 관계자를 위하여 서로 다른 APO본을 제출해야 하는 부담을 덜고, 자격
이 없는 이해관계인들에게 영업비밀정보가 포함된 문서를 무심코 제공하게
됨으로써 발생하는 행정보호명령 위반건수를 줄이기 위한 것이다. 하지만
이해관계인들이 아무런 이해관계인도 없는 제출서류를 억지로 받게되는 것을
피하기 위해, 이해관계인은 다른 이해관계인이 원하지 않는 영업비밀정보의
제공을 보류할 수 있다.

applicant or a clear and compelling need to withhold certain extremely sensitive business
proprietary information from APO release. Generally, the claim of a clear and
compelling need to withhold information from APO release is made in the cover letter of
a submission. The APO office would be unaware of such a claim unless it is brought to
their attention.

compelling need to withhold certain business proprietary information from disclosure
under APO, the information is placed on the official file. If the DOC is sued on its final
determination/results, the documents containing the "clear and compelling" information
are not included in the microfiche record for the CIT. The paper copy of the documents
and a separate index are sent to the CIT.

수면과 깨어있는 상태가 혼합된 변조된 의식상태. 몽유병 에피소드에서 환자는 침대에서 일어나
걸으며 낮은 각성, 반응성, 운동숙련도 등을 보이는데 이것은 주로 밤잠의 첫 삼분의 일 기간 동안
일어난다. 깨어나면 그 사건의 기억은 없다.
F51.4 수면 야경증(Sleep terrors [night terrors])
강하고 센 동작, 울부짖음, 고도의 자율신경계 방전을 동반한 극도의 공포, 공황의 에피소드. 밤잠의
첫 삼분의 일 지점에서 공포에 찬비명과 함께 깨어난다. 자주 환자는 마치 도피하려고 문으로 돌진하
지만 방을 떠나지는 않는다. 그사건에 대한 기억은 거의 없고 있더라도 몇가지의 조각난 영상에
제한될 뿐이다.
F51.5 악몽(Nightmares)
불안과 공포가 깃든 꿈의 경험으로 꿈의 내용을 상세하게 묘사할 수도 있다. 이런 꿈의 경험은 매우
생생하며 주로 생존의 위협, 보안, 자존심 등의 주제를 갖는다. 종종 비슷하거나 같은 종류의 무서운
악몽을 재현해서 꾼다. 에피소드 중에 자율신경계 방전은 있으나 울부짖음이나 몸의 움직임은 없다.
깨어나는 즉시 정신이 드는 것이 보통이다.
