Section 702(c)(4)(A) of the Act requires the DOC to determine, prior to the initiation of
an investigation, that a minimum percentage of the domestic industry for the like product
supports an antidumping duty petition. In making this determination, the DOC and the
ITC must both apply section 771(10) of the Act which defines "domestic like product",
but they do so for different purposes and pursuant to separate and distinct authority.
Furthermore, the DOC's determination is subject to limitations of time and information.
This may result in different definitions of the like product, but such differences do not
render the decision of either agency contrary to law (see Initiation of Antidumping Duty
Investigation: Collated Roofing Nails from the People's Republic of China, the Republic
of Korea, and Taiwan, 61 FR 67306 (December 20, 1996)).
법 제702조(c)(4)(A)에서는 조사개시전에 상무부가 반덤핑관세 신청을
지지하는 동종물품을 생산하는 국내산업의 최소 비율을 판정하도록 하고
있다. 이러한 판정을 함에 있어서 상무부와 국제무역위원회는 국내 동종
물품을 정의하고 있는 법 제771조(10)를 적용하고 있으나 사실 양기관은
각기 다른 목표하에, 별도의 다른 권한에 따라 적용하고 있다. 더구나
상무부의 결정은 시간과 정보면에서 한계가 있다. 따라서 동종물품의
정의가 서로 다르게 될 수도 있으나, 이러한 차이점이 있다고 해서 양기관
의 결정이 법에 위배되는 것은 아니다(중국, 한국, 대만산 Collated
Roofing Nail 조사개시 사건 - 61FR 67306, 96. 12. 20. 참조).

In Final Determination of Sales at Less Than Fair Value: Dynamic Random Access
Memory Semiconductors of One Megabit and Above from the Republic of Korea, 54 FR
15467 (March 23, 1993), the DOC received submissions from interested parties asking
that the DOC exclude the following from the scope:

판정(54 FR 15467, 93. 3. 23.)에서 상무부는 이해관계인으로부터 조사
범위에서 다음을 제외해야 한다는 요청을 제출받았다.

제2조 (정의) 이 법에서 사용하는 용어의 정의는 다음과 같다.
Article 2 (Definition)
For the purpose of this Act, the definition of terms shall be as follow:
1. "사법공조"라 함은 재판상 서류의 송달 또는 증거조사에 관한
국내절차의외국에서의 수행 또는 외국절차의 국내에서의 수행을 위하여 행하는
법원 기타공무소 등의 협조를 말한다.
1. the term "judicial cooperation" means any cooperation made by a court,
other public office, etc. for carrying out in a foreign country domestic
formalities on service of documents or examination of evidence in a trial,
or for carrying out in Korea the foreign formalities thereon;
2. "외국으로의 촉탁"이라 함은 대한민국 법원이 외국법원 기타 공무소 또는
외국에주재하는 대한민국의 대사·공사 또는 영사에 대하여 하는 사법공조촉탁을
말한다.
2. the term "entrustment to a foreign country" means an entrustment of
judicial cooperation made by a court of the Republic of Korea to a foreign
court or other public office, or the ambassador, minister or consul of the
Republic of Korea to the foreign country; and
3. "외국으로부터의 촉탁"이라 함은 외국법원이 대한민국의 법원에 대하여
하는사법공조촉탁을 말한다.
3. the term "entrustment by a foreign country" means an entrustment of
judicial cooperation made by a foreign court to a court of the Republic of
Korea.

제4조 (상호주의) 사법공조에 관한 조약이 체결되어 있지 아니한 경우에도
사법공조를촉탁하는 외국법원이 속하는 국가가 동일 또는 유사한 사항에 관하여
대한민국 법원의사법공조촉탁에 응한다는 보증을 한 경우에는 이 법을 적용한다.
Article 4 (Reciprocity)
Even though a treaty relating to judicial cooperation is not concluded, if
the country to which the foreign court entrusting the judicial cooperation
belongs, guarantees that it will comply with any entrustment of judicial
cooperation by the court of the Republic of Korea with respect to the same
or similar matters, this Act shall apply.

제2장 외국으로의 촉탁
CHAPTER II ENTRUSTMENT TO FOREIGN COUNTRY
제5조 (촉탁의 상대방) ①외국으로의 촉탁은 수소법원의 재판장이 그 외국의
관할법원 기타 공무소에 대하여 한다.
②수소법원의 재판장은 다음 각호에 따라 외국으로의 촉탁을 할 수 있다.
Article 5 (Other Party of Entrustment)
(1) Any entrustment to a foreign country shall be made by the presiding
judge of the court which has accepted the lawsuit, to the competent court
or other public office of the foreign country.
(2) The presiding judge of the court which has accepted a lawsuit, may make
an entrustment to a foreign country by the following subparagraphs:
1. 송달받을 자 또는 증인신문을 받을 자가 대한민국 국민으로서
영사관계에관한비엔나협약에 가입한 외국에 거주하는 경우에는 그 외국에
주재하는대한민국의 대사·공사 또는 영사에 대하여 한다. 이 경우 그 외국의 법령
또는의사표시에 위배되지 아니하여야 한다.
2. 외국이 명백한 의사표시로써 승인하는 경우에는 그 의사표시에 따른
실시기관에 대하여 한다.
1.If the person to whom the service is to be made, or who is to undergo an
inquiry, is a national of the Republic of Korea, and resides in a foreign
country which is a member of the Vienna Convention on Consular Relations,
the entrustment shall be made to the ambassador, minister or consul of the
Republic of Korea in the foreign country. In this case, it shall not be
contrary to the statute or the declaration of intention of the foreign
country; and
2.If the foreign country approves it by an obvious declaration of its
intention, the entrustment shall be made to the agency implementing such
declaration of intention.

제7조 (번역문의 첨부) ①외국법원 기타 공무소에 대하여 사법공조를 촉탁하는
경우에는 그 외국의 공용어로 된 촉탁서 기타 관계서류의 번역문을 첨부하여야
한다. 다만, 그 외국의 공용어를 알 수 없는 경우에는 영어로 된 번역문을
첨부할 수 있다.
Article 7 (Appending of Translation)
(1) In a case where a judicial cooperation is entrusted to a court or a
public office of a foreign country, the translation of the written
entrustment and other related documents in the official language of the
foreign country shall be appended: Provided, That if such official language
of the foreign country is not known, it may be allowed to append a
translation in English.
②당사자는 수소법원에 제출하여야 할 외국으로의 촉탁관계서류에 번역문을
첨부하여야 한다.
(2) The party shall append a translation to the entrustment-related
documents to a foreign country, which are to be submitted to the court
which has accepted the lawsuit.
③송달받을 자가 외국인으로서 제5조제2항제2호의 규정에 의하여 그 외국의
승인에 따라 그 외국에 주재하는 대한민국의 대사·공사 또는 영사를 실시기관으로
하여송달을 촉탁하는 경우에 그 송달할 서류에 관하여는 제1항 및 제2항의
규정을준용한다.
(3) In a case where a person to whom the related documents are to be
served, is a foreigner, and he entrusts the ambassador, minister or consul
of the Republic of Korea in the foreign country, that he is deemed as an
implementing agency, with a service thereof with the approval of the
foreign country under 2 of Article 5 (2) 2, the provisions of paragraphs
(1) and (2) shall apply mutatis mutandis to such documents to be served.
④제1항 및 제3항의 규정에 의하여 번역문을 첨부함에 따른
번역비용은소송비용으로 한다.
(4) The expenses for translation incurred under paragraphs (1) and (3)
shall be part of the costs of the lawsuit.

제8조 (대사등에 의한 송달방법) 외국에 주재하는 대한민국의 대사·공사 또는
영사가 이 법에 의한 송달을 실시하는 경우에는 송달받을 자에게 송달서류를
직접 교부하거나송달받을 자에 대한 배달사실을 증명할 수 있는 우편의 방법에
의하여야 한다.
Article 8 (Method of Service through Ambassador, etc.)
In a case where service as prescribed in this Act is made by the
ambassador, minister or consul of the Republic of Korea in a foreign
country, the documents to be served shall be delivered directly to the
person who is to be served, or it shall be served through the mail service
to attest the fact that the delivery thereof has been made.

제10조 (공시송달) ①외국에서 할 송달에 대한 공시송달은
법원서기관·법원사무관· 법원주사 또는 법원주사보가 송달할 서류를 보관하고 그
사유를 법원게시판에 게시함과 아울러 그 외국에 주재하는 대한민국의 대사·공사
또는 영사에게통지하여야 한다.
Article 10 (Service by Public Notice)
(1) In a case where service to be made in a foreign country is made by
public notice, the court official of Grade IV, V, VI or VII shall keep the
documents to be served, and put up a notice and the reasons thereof on the
court billboard, and at the same time notify it to the ambassador, minister
or consul of the Republic of Korea in t

제12조 (공조의 요건) 외국으로부터의 촉탁에 대한 사법공조는 그 촉탁이 다음
각호의 요건을 갖춘 경우에 한하여 이를 할 수 있다.
Article 12 (Requirements for Mutual Cooperation)
Any judicial cooperation with respect to an entrustment by a foreign
country may be given only when it conforms to the following subparagraphs'
requirements:
1. 촉탁법원이 속하는 국가와 사법공조조약이 체결되어 있거나 제4조의 규정에
의한 보증이 있을 것
1. That a judicial cooperation treaty is concluded with the country to
which the entrusting court belongs, or there is a guarantee as provided in
Article 4;
2. 대한민국의 안녕질서와 미풍양속을 해할 우려가 없을 것
2. That it will not be detrimental to public peace and order and good
public morals in the Republic of Korea;
3. 촉탁이 외교상의 경로를 거칠 것
3. That the entrustment is made through diplomatic channel;
4. 송달촉탁은 송달받을 자의 성명·국적·주소 또는 거소를 기재한 서면에 의할
것
4. That the entrustment of service is made in writing specifying the name,
nationality, address or residence of the person to be served;
5. 증거조사촉탁은 소송사건의 당사자, 사건의 요지, 증거방법의 종류,
증인신문의 경우에는 신문받을 자의 성명·국적·주소 또는 거소와 신문사항을
기재한 서면에의할 것
5. That the entrustment of evidence examination is made in writing
specifying the party, summary of case, methods of evidence, or the name,
nationality, address or residence of the person to be inquired and matters
to be inquired, in a case of witness inquiry;
6. 국어로 작성된 번역문이 첨부되어 있을 것
6. That a translation in the Korean language is appended; and
7. 촉탁법원이 속하는 국가가 수탁사항의 실시에 필요한 비용의 부담을 보증할
것
7. That the country to which the entrusting court belongs, guarantees the
payment of expenses needed for implementing the entrusted matters.

제15조 (준거법) 외국으로부터의 촉탁에 따른 수탁사항은 대한민국의 법률에
의하여 이를 실시한다. 다만, 외국법원이 특정방식에 의한 실시를 요청하는 경우
그 방식이대한민국의 법률에 저촉되지 아니하는 때에는 그 방식에 의한다.
Article 15 (Proper Law)
The matters entrusted by a foreign country shall be implemented in
conformity with the laws of the Republic of Korea : Provided, That in a
case where the foreign court requests to implement it through a specified
way, if such a way is not contrary to any law of the Republic of Korea, the
implementation shall be made in such a way.

제16조 (결과의 회신) ①외국으로부터의 촉탁이 송달촉탁의 경우에는
수탁법원의장이 송달결과에 관한 증명서를, 증거조사촉탁의 경우에는 수탁판사가
증인신문조서기타 증거조사의 결과를 기재한 조서 또는 증거조사가 불능하게 된
사유를 기재한서면을 각각 외국법원에 송부하여야 한다. 다만, 외국법원이
특정방식에 의한 회신을 요청하는 경우 그 방식이 대한민국의 법률에 저촉되지
아니하는 때에는 그 방식에의한다.
Article 16 (Reply on Result)
(1) If an entrustment made by a foreign country is one pertaining to
service, the head of the court which has accepted the entrustment, shall
send to the foreign court a certificate on the result of the service, and
if it concerns an entrustment pertaining to an examination on evidence, the
judge who has accepted the entrustment shall send to the foreign court, a
protocol specifying the inquiry of witness or the result of other
examinations on evidence, or a certificate specifying the reason why the
examination on evidence was impossible, respectively: Provided, That in a
case where the foreign court requests a reply made in a specified way, if
the way is not contrary to any law of the Republic of Korea, it shall be
made in such a way.
②제6조의 규정은 제1항의 규정에 의하여 서류를 송부하는 경우에 이를
준용한다.
(2) The provisions of Article 6 shall apply mutatis mutandis to a case
where the documents are sent under paragraph (1).

We, the people of Korea, proud of a resplendent history and traditions dating from time immemorial, upholding the cause of the Provisional Government of the Republic of Korea born of the March First Independence Movement of 1919 and the democratic ideals of the April Nineteenth Uprising of 1960 against injustice, having assumed the mission of democratic reform and peaceful unification of our homeland and having determined to consolidate national unity with justice, humanitarianism and brotherly love, and

제1장 총강
CHAPTER I GENERAL PROVISIONS
제1조 ①대한민국은 민주공화국이다.
Article 1
(1) The Republic of Korea shall be a democratic republic.
②대한민국의 주권은 국민에게 있고, 모든 권력은 국민으로부터 나온다.
(2) The sovereignty of the Republic of Korea shall reside in the people, and all state authority shall emanate from the people.

제2조 ①대한민국의 국민이 되는 요건은 법률로 정한다.
Article 2
(1) Nationality in the Republic of Korea shall be prescribed by Act.
②국가는 법률이 정하는 바에 의하여 재외국민을 보호할 의무를 진다.
(2) The State shall protect its citizens abroad as provided by Act.

제3조 대한민국의 영토는 한반도와 그 부속도서로 한다.
Article 3
The territory of the Republic of Korea shall consist of the Korean peninsula and its adjacent islands.

제4조 대한민국은 통일을 지향하며, 자유민주적 기본질서에 입각한 평화적 통일정책을 수립하고 이를 추진한다.
Article 4
The Republic of Korea shall seek national unification, and shall formulate and carry out peaceful unification policy based on the free and democratic basic order.

제5조 ①대한민국은 국제평화의 유지에 노력하고 침략적 전쟁을 부인한다.
Article 5
(1) The Republic of Korea shall endeavor to maintain international peace and shall renounce any war of aggression.
②국군은 국가의 안전보장과 국토방위의 신성한 의무를 수행함을 사명으로 하며, 그 정치적 중립성은 준수된다.
(2) The national Armed Forces shall be charged with the sacred mission of national security and the defense of the land and their political neutrality shall be observed.

제6조 ①헌법에 의하여 체결·공포된 조약과 일반적으로 승인된 국제법규는 국내법과 같은 효력을 가진다.
Article 6
(1) Treaties duly concluded and promulgated under the Constitution and generally recognized rules of international law shall have the same force and effect of law as domestic laws of the Republic of Korea.
②외국인은 국제법과 조약이 정하는 바에 의하여 그 지위가 보장된다.
(2) Status of aliens shall be guaranteed in accordance with international laws and treaties.

②군인 또는 군무원이 아닌 국민은 대한민국의 영역 안에서는 중대한 군사상 기밀 ·초병·초소·유독음식물공급·포로·군용 물에 관한 죄중 법률이 정한 경우와 비상계엄이 선포된 경우를 제외하고는 군사법원의 재판을 받지 아니한다.
(2) Citizens who are not on active military service or employees of the military forces shall not be tried by a court martial within the territory of the Republic of Korea, except in case of crimes as prescribed by Act involving important classified military information, sentinels, sentry posts, the supply of harmful food and beverages, prisoners of war and military articles and facilities and in the case of the proclamation of extraordinary martial law.

②국회는 선전포고, 국군의 외국에의 파견 또는 외국군대의 대한민국 영역 안에서의 주류에 대한 동의권을 가진다.
(2) The National Assembly shall also have the right to consent to declaration of war, dispatch of armed forces to foreign states, or stationing of alien forces in the territory of the Republic of Korea.

제9장 경제
CHAPTER IX THE ECONOMY
제119조 ①대한민국의 경제질서는 개인과 기업의 경제상의 자유와 창의를 존중함을 기본으로 한다.
Article 119
(1) The economic order of the Republic of Korea shall be based on respect for the freedom and creative initiative of enterprises and individuals in economic affairs.
②국가는 균형있는 국민경제의 성장 및 안정과 적정한 소득의 분배를 유지하고, 시장의 지배와 경제력의 남용을 방지하며, 경제주체간의 조화를 통한 경제의 민주화를 위하여 경제에 관한 규제와 조정을 할 수 있다.
(2) The state may regulate and coordinate economic affairs in order to maintain a balanced growth and stability of the national economy, to ensure proper distribution of income, to prevent domination of the market and abuse of economic power and to democratize the national economy through harmony among the economic agents.

DISTRIBUTORSHIP AGREEMENT
판매점 계약
THIS DISTRIBUTORSHIP AGREEMENT (hereinafter referred to as "AGREEMENT")
is made in Seoul, Korea as of the 15th day of September, 1998
by and between the ABC Co., Ltd., a corporation duly organized
and existing under the laws of the Republic of Korea and having
its principal office at C.P.O Box No. 112-1, Jongro-ku, Seoul,
Korea (hereinafter referred to as "ABC") and XYZ Co., Ltd.,
a corporation duly organized and existing under the laws of
the States of North Carolina, U.S.A and having its principal
office at C.P.O Box No. 211-1, Sanford, NC, 777-1234, U.S.A
(hereinafter referred to as " XYZ"),
이 판매점 계약서(이하 계약서라 칭함)는 1998년 9월15일 대한민국
서울에서 대한민국의 법률에 의해 설립되고 본사가 대한민국 서울시
종로구 사서함 번호 112-1에 소재한 ABC주식회사 (이하 ABC라 칭함)와
미국 북 캐롤라이나 (North Carolina)주 법률에 의해 설립되고
본사가 미국 북 캐롤라이나 주 샌포드(Sanford) 사서함 번호 211-1에
소재하는XYZ주식회사 (이하 XYZ라 칭함)간에 체결된다.
* 국제 계약서에서는 머리말과 전문등의 말미에는 마침표(.)를
찍는 것이 아니라 항상 쉼표(,)를 찍는다는 것에 주의 해야 합니다.
WITNESSETH :
WHEREAS, ABC wishes to appoint XYZ as an exclusive distributor
for the Products (as hereinafter defined) in the territory of
" the United States of America" ,
WHEREAS, XYZ wishes to accept such appointment as an exclusive
distributor,
ABC는 자사제품(뒤에 별도로 규정됨)의 판매를 위해 XYZ를 미국시장에
대한 판매점으로 지정하기를 희망하며, XYZ는 이러한 ABC의 제안을
수락하기를 희망하며,
* "WITNESSETH"라는 문구를 삽입하여 계약서의 머리말과 설명 조항을
구분하고 있는데, 이는 영어의 고어체로서 " 이 계약은 증거가 됨"
이라는 뜻으로서 뒤에는 항상 콜론(: )을 찍습니다.

This Agreement shall be interpreted and governed by the laws
of the Republic of Korea.
본 계약은 대한민국법을 준거법으로 한다.

This Agreement shall be construed and governed by and under
the laws of the Republic of Korea. The courts of the Republic
of Korea shall have jurisdiction over all disputes which may
arise between the parties with respect to the execution,
interpretation and performance of this Agreement.
본 계약과 관련된 소송 및 전반절차는 대한민국법과 대한민국
법원의 관할에 복종 하기로 한다.

Basically, all disputes arising between the parties hereto in
connection with the Agreement shall be settled through
friendly consultations between the parties. In case no agreement
can be reached through consultations, all disputes, controversies
or differences which may arise between the parties out of or
in relation to or in connection with this Agreement or for the
breach thereof shall be finally settled by arbitration in Seoul,
Korea in accordance with the Commercial Arbitration Rules of
the Korean Commercial Arbitration Board and under the Law of
the Republic of Korea. The award rendered by the arbitrator
shall be final and binding upon both parties concerned.
본 계약과 관련 하여 발생하는 분쟁에 대해서는 우선적으로 상호
우의적인 협상으로 해결한다. 만약 이러한 방법으로 분쟁이 해결되지
않을 때는 대한민국 서울특별시에서 대한상사중재원의 상사중재 규칙
및 대한민국 법에 따라 중재에 의하여 최종적으로 해결된다.
중재에 의하여 내려진 판결은 최종적이며 계약당사자 쌍방에 대하여
구속력을 갖는다.
