Affiliated Persons

Affiliated persons (affiliates) include (1) members of a family, (2) an officer or director of an
organization and that organization, (3) partners, (4) employers and their employees, and (5) any
person or organization directly or indirectly owning, controlling, or holding with power to vote, 5
percent or more of the outstanding voting stock or shares of any organization and that
organization. In addition, affiliates include (6) any person who controls any other person and that
other person, and (7) any two or more persons who directly control, are controlled by, or are
under common control with, any person. "Control" exists where one person or organization is
legally or operationally in a position to exercise restraint or direction over the other person or

특수관계인은 다음의 자를 말한다.
(1) 가족구성원
(2) 조직내 사무원 또는 경영자 및 그 조직
(3) 동업자
(4) 고용주 및 그 종업원
(5) 어떤 조직의 의결권 있는 주식 또는 지분의 5%이상을 직간접적으
로 소유하고 있거나 그 의결권행사에 영향을 미칠 수 있는 자나
조직
(6) 다른 사람을 통제하고 있는 자 및 그 통제대상이 되는 자
(7) 2인 이상의 자가 어떤 사람을 직접 통제하거나, 어떤 사람에 의해
통제되거나 공동통제하에 있는 경우
"통제(control)"란 어떤 사람 또는 조직이 법적으로 또는 실질적으로
다른 사람이나 조직에 대해 감독 또는 영향력을 행사하는 것을 말한다.
