NOW, THEREFORE, in consideration of the mutual covenants contained
herein, the parties hereto agree to the following;
이에, 이 계약서에 기재된 쌍방간의 협정을 약인으로 하여 당사자는
아래와 같이합의한다.
No assignment of this Agreement shall be valid without the
prior written consent of the other party hereto.
계약서는 상대방의 사전 서면동의 없이 양도할 수 없다.
This Agreement constitutes the entire agreement between the
parties and supersedes all previous negotiations, representations,
undertakings and agreements heretofore made between the parties
with respect to the subject matter, and shall not be modified
except by the mutual agreement in writing by duly authorized
officers of the parties hereto.
본 계약서는 계약 쌍방의 합의 내용을 완결 짓는 것으로서 이 계약의
이전에 쌍방간에 있었던 모든 협상, 의사표명, 약정 등을 대체하고
쌍방간의 서면 합의 없이는 수정될 수 없다.
Basically, all disputes arising between the parties hereto in
connection with the Agreement shall be settled through
friendly consultations between the parties. In case no agreement
can be reached through consultations, all disputes, controversies
or differences which may arise between the parties out of or
in relation to or in connection with this Agreement or for the
breach thereof shall be finally settled by arbitration in Seoul,
Korea in accordance with the Commercial Arbitration Rules of
the Korean Commercial Arbitration Board and under the Law of
the Republic of Korea. The award rendered by the arbitrator
shall be final and binding upon both parties concerned.
본 계약과 관련 하여 발생하는 분쟁에 대해서는 우선적으로 상호
우의적인 협상으로 해결한다. 만약 이러한 방법으로 분쟁이 해결되지
않을 때는 대한민국 서울특별시에서 대한상사중재원의 상사중재 규칙
및 대한민국 법에 따라 중재에 의하여 최종적으로 해결된다.
중재에 의하여 내려진 판결은 최종적이며 계약당사자 쌍방에 대하여
구속력을 갖는다.
IN WITNESS WHEREOF, in parties hereto have caused this Agreement
to be executed by their respective duly authorized representative
as of the day and year first written above.
이에 증거로 계약 쌍방은 서두에 언급된 날짜에 각사에서 정당한
권한을 부여받은 대리인으로 하여금 본 계약서를 체결한다.
