Hoping to avoid a hostile bid, Christopher Gent, the chief executive of
Vodafone, the world's leading mobile phone operator, flew with advisers
to Mannesmann headquarters in Duesseldorf, Germany, Sunday afternoon to
present an all-stock offer to Klaus Esser, the chief executive of
Mannesmann.

Gent offered 43.7 Vodafone shares for each Mannesmann share. The
proposal values Mannesmann at 203 euros a share, or $209.50, a 9.4
percent premium to Mannesmann's share price on Friday and a 25 percent
premium to the share price before speculation about a deal arose.
젠트회장은 만네스만 1주에 보다폰주 43.7주의 맞교환을 제의했다. 이는

The offer values the entire company, including its planned acquisition

Gent said he would canvass his company's shareholders over the next two
days before deciding at a Vodafone board meeting on Thursday how much to
bid.

주주들의 의견을 듣겠다고 말했다.
Gent says he has a better than even chance of winning.
``I think something around a 55 to 60 percent chance of success,'' he
told the Frankfurter Allgemeine Zeitung, when asked what he thought of
Vodafone's chances of pulling off the deal.

In any case, Esser said Sunday night that he would rebuff Gent's bid, no
matter how cordial the phone call. "It is difficult to see potential in
further talks," he said in a statement. "There is no strategic incentive
for Mannesmann to combine with Vodafone."
에서 만네스만 회장은 젠트회장의 이같은 예상 제의에 대해서도 아무리 정중한
전화 통화더라도 그의 제안을 거부할 것이라고 단호히 말했다.
그는 성명서에서 "더 이상 서로 이야기한들 실익이 없다"며 "만네스만이
보다폰과 합칠 전략적 인센티브도 없다"고 잘라 말했다.
But Gent now has new ammunition in his arsenal: Vodafone's offer was
worth $127.7 billion when he announced it last month, but has risen to
the $147 billion range as his company's stock price has surged.
젠트 회장으로서는 만네스만 인수전쟁에서 마치 새 탄약을 보급받은 것처럼
유리한 조건이 하나 생겼다. 보다폰 주가가 그동안 올라 지난 달에 만네스만
