판매권)을 요구할 때와 대리점(agent)을 이용해서 대량으로
판매하여 실적을 올리고자 하는 두 가지의 경우가 있습니다.
여기에서는 Mr. West가 후자의 가능성을 생각하고 있는 것입니다.
그러나 대리점의 선정은 역시 어려운 일로서, 판매의 성공과
실패는 depend on the partner라고 말할 정도입니다. 그 경영
방침·지명도·재정 상태 등 모든 것에 신중한 태도가
요구됩니다.

THIS DISTRIBUTORSHIP AGREEMENT (hereinafter referred to as "AGREEMENT")
is made in Seoul, Korea as of the 15th day of September, 1998
by and between the ABC Co., Ltd., a corporation duly organized
and existing under the laws of the Republic of Korea and having
its principal office at C.P.O Box No. 112-1, Jongro-ku, Seoul,
Korea (hereinafter referred to as "ABC") and XYZ Co., Ltd.,
a corporation duly organized and existing under the laws of
the States of North Carolina, U.S.A and having its principal
office at C.P.O Box No. 211-1, Sanford, NC, 777-1234, U.S.A
(hereinafter referred to as " XYZ"),
이 판매점 계약서(이하 계약서라 칭함)는 1998년 9월15일 대한민국
서울에서 대한민국의 법률에 의해 설립되고 본사가 대한민국 서울시
종로구 사서함 번호 112-1에 소재한 ABC주식회사 (이하 ABC라 칭함)와
미국 북 캐롤라이나 (North Carolina)주 법률에 의해 설립되고
본사가 미국 북 캐롤라이나 주 샌포드(Sanford) 사서함 번호 211-1에
소재하는XYZ주식회사 (이하 XYZ라 칭함)간에 체결된다.
* 국제 계약서에서는 머리말과 전문등의 말미에는 마침표(.)를
찍는 것이 아니라 항상 쉼표(,)를 찍는다는 것에 주의 해야 합니다.
WITNESSETH :
WHEREAS, ABC wishes to appoint XYZ as an exclusive distributor
for the Products (as hereinafter defined) in the territory of
" the United States of America" ,
WHEREAS, XYZ wishes to accept such appointment as an exclusive
distributor,
ABC는 자사제품(뒤에 별도로 규정됨)의 판매를 위해 XYZ를 미국시장에
대한 판매점으로 지정하기를 희망하며, XYZ는 이러한 ABC의 제안을
수락하기를 희망하며,
