As you are probably aware from reports in the press, Winford Calculators
has been taken over by Prendall industries and is now part of the
Prendall group of companies.
Details of the take-over and how it will affect employees will be sent
to everyone before the end of the week.
However, this memo is being circulated to reassure you of the following.
1. Salaries and wages will not be affected.
2. Management positions will not be affected, although Organization and
Management consultants will be looking at our methods of production with
a view to improving efficiency.
3. Reorganization will take place over the next year as Prendall intends
to expand Winford Calculators' production so that it will become a major
electronic component supplier to their own industries.
4. Winford Calculators will retain its own name and identity and fulfill
all contracts and obligations it was committed to prior to the take-over.
The Board of Directors and Union representatives of Winford Calculators
have already met with Mr. Prendall, who has given us the above undertakings
both verbally and in writing.

I will do my best to reinforce the lecture with as many live examples
as possible. The lectures should give the people attending at least an
idea of the problems concerned, though, of course, application would
require a far more elaborate curriculum as well as time.

「의사록」은 the minutes of ~의 형태로 나타내며 COD(7th
ed.)는 "a written record of business done, suggestions made,
decisions taken, etc.… at a meeting"이라고 정의하지만
비즈니스의 세계에서는 자주 등장하는 말입니다. Draw up은
「초안·원안을 만들다」의 의미로 draw up a plan, draw up a
contract는 흔히 볼 수 있는 표현입니다.

Mr. West: Here are the minutes of our meeting, Mr. Lee.
Mr. Lee: Minutes of our meeting?
Mr. West: Yes, I have written down the main points of our
discussion. Are you not familiar with them?
Mr. Lee: Well, in Korea too, we take records when the meeting
is about some very important issues.
Mr. West: It is customary in our country to prepare minutes
and sign them.
Mr. Lee: Yes, I think it is a good custom. I'll read the
minutes you have prepared, check them, and if there are no
points to be corrected, I'll sign them.
Mr. West: All right. I can then start drawing up a contract
based on these minutes.
Mr. Lee: I see. Well, as far as I can see, there are no
inaccurate or inappropriate expressions here. I'm ready to
sign them.
의사록을 작성하다
웨스트: 이철수씨. 이것이 우리의 협의 사항에 대한
의사록입니다.
이철수: 의사록이라구요?
웨스트: 예, 우리가 검토한 사항들 중에서 주요한 점을 기록해 둔
것입니다. 이런 것이 낯설으신가요?
이철수: 아닙니다. 한국에서도 중요한 사항을 심의했을 때에는
기록을 작성합니다.
웨스트: 우리나라에서는 관례적으로 의사록을 만들고 서명합니다.

알아둘 일
구미식의 의논이나 교섭에서는 그 주요한 내용을 기록하는데,
동의한 사실, 동의하지 않는 사실. 계속 검토 중인 사항 등을
간단한 용지에 각 조항별로 써서 양측의 출석자가 사인하고 그
복사본을 보관합니다. 이것이 계속 모아지면 계약서가 되는
것입니다. 말했다, 말하지 않았다 식의 결말이 나지 않는 논쟁을
방지함과 동시에 말한 내용에 대한 책임 소재를 명확하게 한다는
의미가 있어서 분쟁의 발생을 방지할 수가 있습니다.

검수(檢收 : inspecting of incoming)
상품의 인수를 확인하는 작업의 총칭이다. 송장(送狀)과 인수한 상품을 대조하
는 작업과, 대조한 결과를 납품전표에 기입하여 발주내용이 일치하는가를 확인
하는 작업이 포함된다. 구매업무에서 가장 중요한 부분으로 검품과 검수를
주요내용으로 한다.
멕시코 음식의 주요 품목은 `또르띠야(Tortilla)'라고 불리는 것으로
물에 불린 옥수수를 으깨 얇게 원형으로 구워서 만든다. 또르띠야는
독자적으로 주요 메뉴가 되지는 못하고 같이 먹을 수 있는 소스나
우리의 만두처럼 안을 채울 수 있는 다른 음식재료와 함께 등장한다.

네모지게 싸서 먹는 것이고 엔칠라다(Enchilada)는 옥수수 또르띠야에
