General account: 일반회계
정부가 public project(공공사업), social welfare(사회보장), education(교육),
diplomacy(외교), national defense(국방) 등 일반행정을 추진하는 데 필요한
예산을 처리하는 회계로서 가장 기본적인 나라 살림을 보여주는 회계.
general account는 internal tax(내국세), customs(관세) 등 중앙정부의
tax revenue(조세수입)와 과태료 등 non-tax receipt(세외수입),
전년도에 쓰고 남은 a balance carried forward from the last account(이월금)
및 debt(차입금)을 revenue(세입)로 하며, general administration(일반행정),
national defense(국방), social development(사회개발), education(교육),
public project(공공사업) 등에 소요되는 지출을 expenditure(세출)로 하여
구성된다. 국가행정은 원래 하나의 account로 처리할 수 있으며 이를
'예산의 단일주의'라 한다. 그러나 현실적으로는 budget 전체를 하나로 묶어
처리하기가 너무 복잡하므로 special project나 special fund의 운용을
대상으로 하는 것은 special account(특별회계)로 따로 처리한다.

워크아웃(Workout): 금융기관이 거래기업의 '군살'즉 과다한 자산과
채무등을 없애줌으로써 재무구조를 건전하게 바꿔주는 작업.
미국의 여배우 제인폰다가 80년대 헬스클럽을 운영하면서 여성의
군살빼기운동을 '워크아웃'이라 부른데서 유래했다고 한다.
기업경영에서 이말을 처음 사용한 사람은 미국의 제네랄 일렉트릭 잭 웰치
회장으로 알려져 있다.
워크아웃은 기업에 돈을 주더라도 무조건 지원하는 것이 아니라 근본적
체질개선처방을 함께 내리기 때문에 협조융자(Bail-out)와는 다르다. 퇴출을
뜻하는 아웃(out)이란 단어 때문에 기업들로부터 오해를 사고 있어
금융감독위원회는 최근 워크아웃을 '기업개선작업'으로 통일해 사용하고
있다.
금융기관을 통한 기업구조조정과 관련, 의미가 가장 폭넓고 핵심적인
용어로 기업과 금융기관이 서로 협의해 진행하는 일련의 구조조정 과정과
결과를 지칭한다.
기업이 단기부채 때문에 어려움을 겪고 있지만 중장기적으로 자생력이
있으면 여러 부채를 만기가 긴 하나의 부채로 통합(Consolidation)한다.
기업의 자금사정과 회생 가능성에 따라 지급유예(Grace Qeriod)기간을
두거나 이자삭감(Interest Relief) 또는 부채삭감(Debt Relief)을 할 수도
있다.
적대적 인수합병(M&A):대주주간 협사에 의해 경영권이 넘어가는 우호적인
M&A와 반대되는 개념. 해당 회사 이사회의 동의 없이 강제적으로 경영권을
뺏는 것. 적대적 M&A는 주로 주식 공개매수를 통해 이뤄진다. 정부는
증권거래법상 의무공개매수제도와 외자도입법의 이사회 승인 요건 등으로
내외국인에 의한 적대적 M&A를 규제해 왔다. 1998년 2월 4일 구조조정안이
타결됨으로써 적대적 M&A를 가로막는 모든 장벽이 철폐됐다. 그
방법으로는 다음과 같다.
1.공개매수 (TOB:Take-over Bid)=인수기업이 인수하고자 하는 대상기업의
불특정 다수주주를 상대로 장외에서 일정기간 특정가격으로 매도하라고
권유하는 것. 적대적 M&A의 속성상 가장 흔히 쓰이는 방법이다.
미국에서는 인수자측이 대상기업에 방어할 시간을 주지 않기 위해 공휴일인
토요일 저녁 황금시간대 TV를 통해 공개매수를선언하는 경우가 많다. 이를
'토요일 밤의 기습'(Saturday Night Special)이라 부르기도 한다.
2.곰의 포옹(Bear Hug)=인수자가 공개매수 대상기업에 인수 합병의
당위성을 설명하고 인수에 협력할 것을 권유하는 행위 . 주로 최고 경영자
사이에 사적으로 이뤄져 보통은 잘 공개되지 않는다.
3.기업사냥꾼(Raiders)=기업 인수 합병 전문가를 일컫는 말로
'기업약탈자'로 불리기도 한다. 이들은 대상기업의 일정 지분을 장내에서
매입했다가 대상기업에 높은 값에 다시 사줄 것을 요구하는 '그린메일러'가
되기도 한다.
4.그린메일(Green-mail)=대량 주식보유자가 대상주식의 경영자를 협박해
자신이 매입한 주식을 프리미엄을 얹어 발행회사에 되파는 행위. 이를
전문적으로 하는 사람을 그린메일러라 부른다. 대상기업이 매입을 거부할
경우 그린메일러는 기업사냥꾼을 변모해 적대적 M&A를 시도하는 게
보통이다.
5.턴 어라운드(Turn-around)=자산가치가 높고 현금 흐름이 풍부한데도
경영자의 능력이나 자본구조가 취약해 주가가 떨어진 기업을 인수한 뒤
경영을 호전시켜 주가를 올린 다음 매각 처분하는 기법.
6. 차입매수(LBO:Leveraged Buy-out)=금융기관 등에서 돈을 빌려 인수
대금의 대부분을 조달하는 방법. 대상기업의 경영자가 회사자산을 담보로
제공하는 등 주로 우호적 M&A에서 많이 이뤄지나 미국의 베아트리체
식품회사처럼 적대적 M&A에도 쓰인다.
이달 중순으로 다가온 성동조선해양 마지막 매각 입찰을 코 앞에 두고 새롭게 수은을 이끄는 방문규 행장의 발언에 구조조정 업계 관심이 쏠리고 있다.
