As you are probably aware from reports in the press, Winford Calculators
has been taken over by Prendall industries and is now part of the
Prendall group of companies.
Details of the take-over and how it will affect employees will be sent
to everyone before the end of the week.
However, this memo is being circulated to reassure you of the following.
1. Salaries and wages will not be affected.
2. Management positions will not be affected, although Organization and
Management consultants will be looking at our methods of production with
a view to improving efficiency.
3. Reorganization will take place over the next year as Prendall intends
to expand Winford Calculators' production so that it will become a major
electronic component supplier to their own industries.
4. Winford Calculators will retain its own name and identity and fulfill
all contracts and obligations it was committed to prior to the take-over.
The Board of Directors and Union representatives of Winford Calculators
have already met with Mr. Prendall, who has given us the above undertakings
both verbally and in writing.

Your repeated requests to postpone submission of your 1984-85 P/L
statement and your 1985-86 comprehensive business plans have been
acknowledged to date.

your duty to inform us regarding your financial conditions by

year in full consultation with us.

여기에서 사용되고 있는 outstanding 이라는 단어에는 2개의
의미가 있습니다. 하나는 better than others, easily seen, 또
다른 하나는 not yet done (paid) 로서 여기에서는 후자쪽의
의미가 더 적당합니다. There are no outstanding problems.
=There are no problems that have to be solved. 라는 것입니다.
Both parties는 「계약의 담당자 쌍방」을 의미하며 한쪽은 one
party입니다.

할 만한 일인데, 본래 계약은 상호신뢰의 마음으로 이것을
이행하고, 문제가 있을 때에는 성심 성의껏 우호적인 마음으로
해결을 꾀하는 것이 원칙이며, 장난 삼아 위반에 대한 penalties?
주는 것은 바람직하지 않습니다. 계약의 조인식은 확실하게
입회인도 정해서 행하고, 그 후에 party나 기념회 luncheon을
하는 것이 좋습니다. 그리고 상대에 Thank you for your support.

non-circumvention, non-disclosure :
계약상의 의무를 교묘히 피해 가거나 이행노력을 해태하는 것을
circumvention 이라하고 disclosure는 계약상의 기밀사항등을
누설시키는 행위를 말합니다. 이런 행위가 없도록 하는 것을 말합니다.
Neither party shall be liable to the other party for nonperformance
or delay in performance of any of its obligations under the
Agreement due to war, revolution, riot, strike or other labor
dispute, fire, flood, acts of government or any other causes
reasonably beyond its control. Upon the occurrence of such
a force majeure condition, the affected party shall immediately
notify the other party of any further developments.
Immediately after such conditions are removed, the affected
party shall perform all obligations with due speed.
계약 쌍방은 전쟁, 혁명, 폭동, 파업, 기타노동분쟁, 화재, 홍수 및
정부의 제한조치 등 불가항력으로 인한 계약 불이행에 대해서는
책임을 지지 않는다. 다만 이러한 일이 발생 될 때에는 즉시 위
사실을 상대방에게 통지 해야 한다. 이러한 불가항력의 원인이
제거되자 마자 그러한 사유로 영향을 받은 당사자는 즉시 모든
의무를 이행하여야 한다.
All waivers hereunder shall be in writing and the failure of
any party at any time to require the other party's performance
of any obligations under this Agreement shall not affect the
right subsequently to require performance of the obligation.
Any waiver of any breach of any provision hereof shall not
be construed as a waiver of any continuing or succeeding
breach of such provision or a waiver of modification of
the provision.
본 계약서의 모든 권리포기는 서면으로 해야 하며 , 언제든지 한
당사자가 계약 상대방의 계약서내의 의무 이행을 요구하지 않았다
하더라도 향후에 그 의무의 이행을 요구할 권리에 지장을 주어서는
안 된다. 본 계약서의 어느 조항에 대한 위반을 포기하더라도
당해 조항의 계속적인 위반에 대한 치유요구를 포기하거나 또는
당해 조항의 수정을 포기하는 것으로 해석되어서는 안 된다.

You are solely responsible for the Property(ies), including all content and materials, maintenance and operation thereof, the proper implementation of Abc's specifications, and adherence to the terms of this Agreement, including compliance with the Program Policies.

Abc reserves the right to investigate, at its own discretion, any activity that may violate this Agreement, including but not limited to any use of a software application to access Ads, Links, Search Results, or Referral Buttons or to complete any Referral Event, or any engagement in any activity prohibited by this Agreement.

Abc reserves the right to withhold payment or charge back Your account due to any of the foregoing or any breach of this Agreement by You, pending Abc's reasonable investigation of any of the foregoing or any breach of this Agreement by You, or in the event that an advertiser whose Ads are displayed in connection with Your Property(ies) defaults on payment for such Ads to Abc.
