[比較] warrant, warranty, guarantee, guaranty
warrant와 guarantee는 같은 어원에서 온 이중어(doublet)로, 무엇이 안전한가 진짜인가를 가리키는 경우 흔히 바뀌어 쓰인다. warrant는 ‘어떤 물건이 겉으로 보기에는 똑같다, 주장대로 진짜다라는 보증을 하다’를 의미한다.

guarantee는 ‘어떤 물건이 주장하는 바와 같지 않은 경우에는 그것을 새로 바꾸어 준다, 또는 그 값을 물어준다고 서약함으로써 그것을 보증하다’란 뜻이다.

그러나 이 말은 광고문에 함부로 사용되어, 극히 조심해서 읽지 않으면 무엇이 보증되어 있는지 알 수 없다. warrant에는 또한 guarantee에는 없는 ‘정당화하다’(justify'의 뜻이 있다.

warrant와 guarantee는 명사로도 쓰이나 ‘구속영장, 체포장’의 뜻으로는 warrant만이 쓰인다. 이 뜻으로 흔히 사용되는 불쾌한 연상에서 ‘보증’ 따위의 다른 뜻으로는 이 말을 피하고, guarantee가 흔히 쓰이는 경향이 있다.
warranty는 명사로만, guaranty는 명사와 동사로 특별한 의미에 사용된다. warranty는 주로 법률 용어로, ‘매매 따위의 계약에 관련해서, 어떤 특별한 사항을 보증하는 약속’ 또는 ‘토지 증서에서 양도받는 사람이 상위의 권리를 가지고 소유권을 주장하는 제 삼자의 방해를 받지 않고 부동산을 자유로 향유할 수 있다는 것을, 양도하는 사람이 보증하는 서면 계약’을 의미한다. a warranty deed는 이런 계약이 명시된 증서, ‘하자 담보 증서’로 a quitclaim deed(권리 양도증서)와 구별된다. 보험용어로, warranty는 보험 계약의 무효로 되는 ‘보험 가입자가 행하는 진술, 계약서’를 말한다. 또한 영장(warrant, writ)같은 ‘사법문서’(judicial document)를 의미하기도 한다.
guaranty는 ‘보증’(warrant), '보증계약‘, ’담보(물)‘를 의미한다. 동사로는 ’보증하다‘(guarantee)의 뜻이다. 영국에서는 미국에서 guarantee를 사용할 문맥에서 guaranty를 많이 사용하고, 미국에서는 이 두 말이 가진 모든 용법에서 guarantee를 주로 쓰고 있다.

-> 미국은 대부분 아파트 입주가 임대의 형식이 대부분이므로
우리의 경우 분양과는 다르다. 따라서 건물주는 입주자의 직
업, 소득, 가족관계를 조사하여 다달이 월세를 받는데 하자
가 없음을 확인하여 임대여부를 결정한다. 그러나 이것도 인
기있는 아파트의 경우에 한정되며 모두가 그런 것은 아니라
한다. 그리고, 우리의 경우처럼 분양받아 소유를 하는 것을
condominium(분양맨션)이라 한다.
미국에는 전세가 없다. 그리고 계약서가 까다로와 입주시와
집을 비워줄 때의 변동사항에 대해 일일이 체크해 변제받는
철저함을 보인다.

「수정·개정」은 revisions, 추가」는 additions, insertions,
「삭제」는 subtractions, omissions, taking out, deletions
등입니다. 「가령, 우선」은 tentatively 외에 provisionally도
있습니다. Valid는 「효력이 있다」로 having effect,
effective라고도 합니다.

계약서는 서로 실행할 수 없는 것을 써 놓는 것도 아니고 막연한
내용을 포함시켜도 안됩니다. 나중에 문제가 발생하지 않도록
상호간의 권리와 의무를 명기하고 이것을 확인한 연후에 책임자가
사인을 하는 것이며, 영문서류가 원본이 될 경우에는 세밀하게
살펴 보아서 전문 변호사의 조언을 얻고 최종적인 태도를
결정하는 것입니다. 한국식으로 「여기는 무엇인가…」하는 것은
계약종료 후에는 통용되지 않습니다.

「의사록」은 the minutes of ~의 형태로 나타내며 COD(7th
ed.)는 "a written record of business done, suggestions made,
decisions taken, etc.… at a meeting"이라고 정의하지만
비즈니스의 세계에서는 자주 등장하는 말입니다. Draw up은
「초안·원안을 만들다」의 의미로 draw up a plan, draw up a
contract는 흔히 볼 수 있는 표현입니다.

구미식의 의논이나 교섭에서는 그 주요한 내용을 기록하는데,
동의한 사실, 동의하지 않는 사실. 계속 검토 중인 사항 등을
간단한 용지에 각 조항별로 써서 양측의 출석자가 사인하고 그
복사본을 보관합니다. 이것이 계속 모아지면 계약서가 되는
것입니다. 말했다, 말하지 않았다 식의 결말이 나지 않는 논쟁을

THIS DISTRIBUTORSHIP AGREEMENT (hereinafter referred to as "AGREEMENT")
is made in Seoul, Korea as of the 15th day of September, 1998
by and between the ABC Co., Ltd., a corporation duly organized
and existing under the laws of the Republic of Korea and having
its principal office at C.P.O Box No. 112-1, Jongro-ku, Seoul,

미국 북 캐롤라이나 (North Carolina)주 법률에 의해 설립되고
본사가 미국 북 캐롤라이나 주 샌포드(Sanford) 사서함 번호 211-1에
소재하는XYZ주식회사 (이하 XYZ라 칭함)간에 체결된다.

the following terms and expressions shall have the meanings

아래 사항들은 다음과 같이 정의 된다.
본 계약서에서 "지역"이란 "미국"을 의미한다.
All waivers hereunder shall be in writing and the failure of
any party at any time to require the other party's performance
of any obligations under this Agreement shall not affect the
right subsequently to require performance of the obligation.
Any waiver of any breach of any provision hereof shall not
be construed as a waiver of any continuing or succeeding
breach of such provision or a waiver of modification of
the provision.
본 계약서의 모든 권리포기는 서면으로 해야 하며 , 언제든지 한
당사자가 계약 상대방의 계약서내의 의무 이행을 요구하지 않았다
하더라도 향후에 그 의무의 이행을 요구할 권리에 지장을 주어서는
안 된다. 본 계약서의 어느 조항에 대한 위반을 포기하더라도
당해 조항의 계속적인 위반에 대한 치유요구를 포기하거나 또는
당해 조항의 수정을 포기하는 것으로 해석되어서는 안 된다.
This Agreement constitutes the entire agreement between the
parties and supersedes all previous negotiations, representations,
undertakings and agreements heretofore made between the parties
with respect to the subject matter, and shall not be modified
except by the mutual agreement in writing by duly authorized
officers of the parties hereto.
본 계약서는 계약 쌍방의 합의 내용을 완결 짓는 것으로서 이 계약의
이전에 쌍방간에 있었던 모든 협상, 의사표명, 약정 등을 대체하고
쌍방간의 서면 합의 없이는 수정될 수 없다.
This Agreement is not changed, modified or amended by the
parties of this Agreement provided that such change,
modification or amendment is in writing and signed by both parties.
본 계약서는 계약 쌍방간의 서면동의 없이는 계약 내용이
변경,수정 및 개정 될 수 없다.
IN WITNESS WHEREOF, in parties hereto have caused this Agreement
to be executed by their respective duly authorized representative
